These Terms of Service (“Terms”) govern access to and use of the automated Moodle hosting service (“Service”) provided by Dynamic Pixel Multimedia Solutions (“Dynamic Pixel”, “DP”, “we”, “us”, or “our”) through its website and associated domains.
By registering for, creating, accessing, or using a Moodle instance through the Service, the customer (“Customer”, “you”, or “your”) agrees to these Terms. If you are using the Service on behalf of an organisation, you confirm that you are authorised to accept these Terms on its behalf.
If you do not agree to these Terms, you must not register for or use the Service.
1.1. Dynamic Pixel provides an automated, managed hosting service that enables individuals, educators, institutions, businesses, and other organisations to create and operate Moodle Learning Management System (LMS) instances.
1.2. Subject to the selected plan, the Service may include:
1.3. Features, technical limits, pricing, and support entitlements may differ by plan. The plan description displayed on the website, applicable rate card, order confirmation, or written quotation will specify the relevant entitlements.
1.4. The Service is a managed hosting service. It does not provide the Customer with unrestricted access to the underlying server, operating system, database, hosting control panel, or infrastructure.
1.5. Dynamic Pixel may update the underlying infrastructure, software versions, hosting configuration, or security controls where reasonably necessary for security, maintenance, compatibility, or service improvement.
2.1. Customers must provide accurate and current information when registering for the Service.
2.2. Email verification may be required before an instance is created or activated.
2.3. Customers are responsible for:
2.4. Customers must not impersonate another person or organisation, provide misleading registration information, or create accounts for unlawful purposes.
2.5. Dynamic Pixel may decline a requested subdomain or suspend its use if it is misleading, infringes third-party rights, violates applicable law, creates a security concern, or breaches these Terms.
3.1. The Service may be offered under the following indicative plans. The plan selected and confirmed at the time of registration or purchase will govern the Customer’s entitlements.
| Plan | Annual Price | Storage | Registered Users | Concurrent Sessions |
|---|---|---|---|---|
| Free | ₹0 | 500 MB | 50 | 5 |
| Launch | ₹23,999/year | 5 GB | 100 | 10 |
| Grow | ₹71,999/year | 20 GB | 500 | 25 |
| Small Business | ₹1,49,999/year | 50 GB | 1,500 | 50 |
| Enterprise | Custom annual quotation | As agreed | Unlimited, subject to Clause 5 | As specified in the applicable rate card |
3.2. Paid-plan prices are exclusive of applicable Goods and Services Tax (GST) and other applicable taxes unless expressly stated otherwise.
3.3. Paid plans are billed annually unless a written quotation or separate agreement expressly provides otherwise.
3.4. The Free plan is provided without a hosting subscription fee and is subject to the limits and conditions set out in these Terms.
3.5. Dynamic Pixel may revise its pricing or plan features prospectively. Any change affecting an existing paid subscription will be communicated in advance where reasonably practicable and will ordinarily apply from the next renewal period, unless the change is required by law, security requirements, or an agreed variation.
3.6. Storage, user limits, concurrency limits, and other plan entitlements must not be exceeded or circumvented. Where a Customer requires additional capacity, the Customer must request an upgrade or additional capacity under Clause 7.
4.1. A “Registered User” means a user account registered within the Customer’s Moodle instance, whether or not that account is currently active.
4.2. Each plan has a maximum number of registered users, except for the Enterprise plan, which is governed by Clause 6.
4.3. The Customer must not attempt to circumvent user limits by creating multiple instances, duplicating accounts, manipulating registration records, or using other technical means without Dynamic Pixel’s written approval.
4.4. If the registered-user limit is reached, further user registration or account creation may be restricted until the Customer removes unnecessary accounts, upgrades the plan, or obtains additional capacity.
4.5. Dynamic Pixel may contact the Customer to recommend an appropriate upgrade where usage consistently exceeds the selected plan’s limits.
5.1. Each plan has a maximum concurrent-session entitlement as shown in Clause 3 or, for Enterprise customers, in the applicable rate card or written quotation.
5.2. A “Concurrent Session” means an authenticated user session that Dynamic Pixel’s technical monitoring and session-counting methodology identifies as active at a particular time. The methodology may consider session validity, activity, session expiry, and other relevant technical indicators.
5.3. Concurrent sessions are different from registered users. A Customer may have many registered users while only a limited number can have active sessions at the same time.
5.4. The concurrent-session entitlement is a capacity limit, not a guarantee that every permitted session will experience identical response times or that every workload will operate at a particular performance level.
5.5. When the concurrent-session limit is reached, Dynamic Pixel may, depending on the technical configuration:
5.6. Dynamic Pixel may apply reasonable session expiry and idle-session management rules, including rules to protect security and release unused capacity. The applicable technical methodology may be updated from time to time.
5.7. Concurrent-session limits do not independently guarantee performance for examinations, high-volume quizzes, video streaming, live classes, bulk enrolments, or other resource-intensive activities. Performance depends on the workload, Moodle configuration, plugins, storage, network conditions, and available infrastructure.
5.8. Customers planning examinations, admissions, large-scale training events, or other periods of unusually high usage should notify Dynamic Pixel in advance. Additional infrastructure, capacity validation, load testing, or temporary scaling may be quoted separately.
5.9. Customers must not use automated scripts, artificial accounts, or other methods to manipulate session counts or bypass capacity controls.
6.1. The Enterprise plan is intended for organisations requiring customised hosting capacity, configuration, support, or other agreed services.
6.2. The Enterprise plan does not impose a fixed contractual cap on the number of registered user accounts, subject to the agreed infrastructure, storage, fair-use requirements, applicable technical constraints, and the written quotation or service agreement.
6.3. Unlimited registered users do not mean unlimited concurrent sessions, unlimited storage, unlimited computing resources, or unlimited usage.
6.4. The permitted concurrent-session capacity will be defined in a separate rate card, written quotation, or service agreement. Customers must contact Dynamic Pixel to obtain the applicable capacity and pricing.
6.5. Any proposed concurrent-session capacity is subject to technical assessment. Where appropriate, Dynamic Pixel may recommend representative load testing before confirming suitability for a specified workload.
6.6. Additional capacity, dedicated infrastructure, disaster recovery arrangements, enhanced availability commitments, or specialised support may be subject to separate charges and written terms.
7.1. Customers wishing to upgrade a plan, increase storage, increase registered-user capacity, or obtain higher concurrent-session capacity must contact Dynamic Pixel through the contact channels published on its website or otherwise communicated to the Customer.
7.2. Dynamic Pixel will assess the request and, where applicable, provide a quotation or invoice specifying the proposed upgrade, charges, and any relevant conditions.
7.3. The upgrade will be processed after the Customer has paid the applicable invoice and Dynamic Pixel has verified receipt of payment.
7.4. Dynamic Pixel targets completion of a standard upgrade within two business days after payment has been received and verified. This is a target, not an unconditional guarantee. Additional time may be required for complex changes, infrastructure provisioning, compatibility checks, third-party dependencies, or circumstances beyond Dynamic Pixel’s reasonable control.
7.5. The Customer must not assume that an upgrade has been completed until Dynamic Pixel confirms completion or the revised capacity is made available.
7.6. Unless otherwise agreed in writing, charges for an upgrade, additional capacity, or associated services are separate from the existing subscription charges.
8.1. Standard plans include a subdomain under a domain designated by Dynamic Pixel, subject to availability and approval.
8.2. Subdomains are provided for use with the Service and do not transfer ownership of the underlying domain or any associated intellectual property rights to the Customer.
8.3. Dynamic Pixel may reject, rename, suspend, or require a change to a subdomain where reasonably necessary to address a legal complaint, security risk, abuse, technical issue, or infringement concern.
8.4. A Customer wishing to use a custom domain must contact Dynamic Pixel. Custom-domain setup, DNS configuration, SSL configuration, or related services may be offered as a paid add-on.
8.5. Unless expressly included in a written quotation, the Customer is responsible for purchasing, owning, renewing, and maintaining its custom domain and for ensuring that it has the right to use the domain.
8.6. Dynamic Pixel is not responsible for a Customer’s loss of a custom domain resulting from non-renewal, registrar action, inaccurate registration details, or disputes between the Customer and a domain registrar.
9.1. Moodle’s core features and the plugins, themes, and integrations approved by Dynamic Pixel may be made available according to the selected plan.
9.2. Customers on the Free plan must not independently install, upload, or modify plugins, themes, server-side code, or other executable components. Any additional functionality is subject to Dynamic Pixel’s approval and the technical options available under the plan.
9.3. Customers on paid plans may request installation or configuration of additional plugins, themes, or integrations. Approval is not automatic.
9.4. Before installing a requested component, Dynamic Pixel may assess:
9.5. Dynamic Pixel may reject, defer, disable, or remove a component that presents an unacceptable security, legal, operational, compatibility, or performance risk.
9.6. Installation, configuration, troubleshooting, custom development, or ongoing maintenance of additional components may incur separate charges. Third-party licence fees and subscriptions are payable by the Customer unless expressly included in a written quotation.
9.7. Dynamic Pixel does not guarantee the continued availability, compatibility, security, or support of third-party plugins, themes, integrations, or services.
9.8. No plan grants unrestricted server access or permission to execute arbitrary server-side code unless expressly agreed in writing.
10.1. The Free plan is intended for active evaluation, learning, and limited-use purposes. It is subject to a strict inactivity policy.
10.2. If no user successfully logs in to a Free-plan Moodle instance for three consecutive months, Dynamic Pixel may deactivate and delete that instance and its associated data.
10.3. The inactivity period is assessed by reference to successful user logins recorded by the Service. Mere existence of the instance, automated system activity, background jobs, or unsuccessful login attempts will not count as a successful user login.
10.4. Dynamic Pixel may provide an inactivity warning before deletion where reasonably practicable. However, Customers must not rely on receiving a warning and are responsible for maintaining their own copies of important data.
10.5. Once an instance or its data has been deleted, restoration may not be possible. Dynamic Pixel does not guarantee recovery of deleted Free-plan instances or data.
10.6. This three-month inactivity deletion policy applies only to the Free plan. It does not automatically apply to active paid plans, which are governed by their subscription terms, applicable data-retention provisions, and any separate written agreement.
10.7. Customers who no longer require the Free plan should export and securely retain any data they wish to preserve before discontinuing use of the Service.
11.1. The Customer is responsible for all content, courses, files, user information, assessments, communications, and other materials uploaded, created, distributed, or processed through its Moodle instance.
11.2. The Customer must ensure that its use of the Service complies with applicable laws and regulations, including applicable data protection, intellectual property, consumer protection, and cybersecurity requirements.
11.3. The Customer must not use the Service to:
11.4. The Customer is responsible for managing its Moodle users, roles, permissions, course content, enrolments, passwords, and access policies.
11.5. The Customer must obtain all required consents and permissions before uploading personal information, educational records, assessment results, or other data relating to students, employees, or other individuals.
11.6. Dynamic Pixel may investigate suspected violations and take proportionate action, including requesting corrective action, restricting functionality, suspending access, or terminating the Service, subject to applicable law and any applicable agreement.
12.1. As between the parties, the Customer retains its rights in its own content and data, subject to any rights necessary for Dynamic Pixel to host, process, secure, back up, and provide the Service.
12.2. The Customer authorises Dynamic Pixel to process Customer data to the extent reasonably necessary to operate, maintain, secure, troubleshoot, and support the Service, or as otherwise permitted by law and the applicable agreement.
12.3. The Customer is responsible for determining the lawful basis for collecting and processing personal data through its Moodle instance and for providing required notices, obtaining required consents, and responding to requests from data subjects where applicable.
12.4. Dynamic Pixel will handle personal information in accordance with its applicable Privacy Policy and relevant legal obligations. Where required by law or agreed in writing, the parties will enter into additional data-processing or data-protection terms.
12.5. The Customer must not upload sensitive, confidential, or regulated data unless the selected plan and applicable written agreement are suitable for that data and the Customer has implemented appropriate safeguards.
12.6. Dynamic Pixel may access Customer data where reasonably necessary for support, maintenance, security, incident investigation, legal compliance, or another legitimate operational purpose, subject to applicable law and its privacy commitments.
12.7. The Customer must promptly notify Dynamic Pixel if it becomes aware of a security incident involving the hosted instance that may require Dynamic Pixel’s assistance.
12.8. Customers should refer to the applicable Privacy Policy for further information regarding personal data collection, use, retention, disclosure, and rights.
13.1. Backup availability, frequency, retention periods, restoration options, and charges depend on the selected plan and any separate written agreement.
13.2. Unless a plan description or written agreement expressly states otherwise, Dynamic Pixel does not guarantee a particular backup frequency, recovery point, recovery time, or successful restoration of every item of data.
13.3. The Customer is responsible for maintaining independent backups of important course content, user records, assessment data, and other materials. Customers should periodically test their exports and backup-restoration procedures.
13.4. Dynamic Pixel may retain, archive, or delete data in accordance with the selected plan, operational requirements, its Privacy Policy, applicable law, and any agreed retention schedule.
13.5. Following termination or expiry of a paid subscription, the Customer should promptly request and complete any required data export before the applicable service or retention period ends. Continued access, export assistance, extended retention, or restoration may be subject to additional charges where agreed.
13.6. Dynamic Pixel may permanently delete data after the applicable retention period has expired, subject to legal obligations and any separate written agreement.
14.1. Dynamic Pixel will use reasonable efforts to maintain the Service and address reported technical issues.
14.2. Unless a separate service-level agreement (SLA) expressly provides otherwise, the Service is not subject to a guaranteed uptime percentage, guaranteed resolution time, or guaranteed response time.
14.3. Planned maintenance, emergency maintenance, security updates, infrastructure changes, third-party outages, network issues, and other events may temporarily affect availability.
14.4. Support availability and response targets depend on the selected plan and any applicable written agreement. A response target is not necessarily a resolution commitment.
14.5. Dynamic Pixel may prioritise incidents according to severity, scope, security impact, and the Customer’s support entitlement.
14.6. Support does not automatically include course design, instructional design, content creation, Moodle administration performed on the Customer’s behalf, custom development, third-party troubleshooting, or user training unless these services are expressly included in the plan or separately purchased.
15.1. Paid subscriptions and additional services must be paid in accordance with the invoice, quotation, or order confirmation issued by Dynamic Pixel.
15.2. The Customer is responsible for providing accurate billing information and paying all applicable taxes and charges.
15.3. A paid service or upgrade may remain inactive or restricted until the applicable payment has been received and verified.
15.4. Where payment is overdue, Dynamic Pixel may issue reminders and, subject to applicable law and any agreed notice period, suspend or restrict the affected service until the outstanding amount is paid.
15.5. Subscription renewals, cancellations, refunds, and any applicable refund exceptions will be governed by the published commercial terms, order confirmation, and applicable law. Unless expressly stated otherwise, cancellation prevents renewal and does not automatically entitle the Customer to a refund for an unused portion of an already commenced subscription.
15.6. Any refund required by law or expressly approved in writing by Dynamic Pixel will be handled in accordance with the applicable terms.
16.1. The Customer may stop using the Service and may request cancellation in accordance with the applicable plan or written agreement.
16.2. Dynamic Pixel may suspend or restrict access where reasonably necessary to:
16.3. Where reasonably practicable, Dynamic Pixel will notify the Customer and provide an opportunity to remedy the issue before suspension or termination. Immediate action may be taken where necessary to address a serious security risk, unlawful activity, or material threat to the Service.
16.4. Dynamic Pixel may terminate the Service for a material breach that remains unremedied after reasonable notice, where such notice and an opportunity to remedy are appropriate and legally permissible.
16.5. Upon termination or expiry, access to the Moodle instance may be disabled. Data export, retention, and deletion will be handled under Clause 13, the applicable plan terms, and any separate written agreement.
16.6. Clauses that by their nature should continue after termination, including provisions relating to payment obligations, intellectual property, confidentiality, liability, indemnity, and dispute resolution, will survive to the extent applicable.
17.1. Moodle is open-source software distributed under its applicable licence. Moodle’s name, trademarks, and related intellectual property remain subject to the rights of their respective owners.
17.2. These Terms do not transfer ownership of Dynamic Pixel’s website, branding, proprietary tools, hosting automation, scripts, documentation, or other intellectual property to the Customer.
17.3. The Customer retains responsibility for ensuring that content, plugins, themes, and other materials it supplies or requests for installation may lawfully be used for the intended purpose.
17.4. The Customer grants Dynamic Pixel a limited, non-exclusive right to host, reproduce, transmit, and process Customer materials as reasonably necessary to provide and maintain the Service.
17.5. Neither party may use the other party’s trademarks or branding in a manner that implies an endorsement, partnership, or affiliation without appropriate authorisation, except as permitted by law.
18.1. The Service may depend on third-party hosting providers, network providers, software, plugins, integrations, domain registrars, email services, or other external services.
18.2. Third-party services may be subject to separate terms, licence conditions, availability limitations, or fees.
18.3. Dynamic Pixel is not responsible for failures caused solely by third-party services outside its reasonable control, although it will use reasonable efforts to investigate and address issues within its control.
18.4. Dynamic Pixel does not guarantee that any third-party plugin, integration, or external service will remain available or compatible indefinitely.
19.1. Except for commitments expressly stated in a written agreement and to the extent permitted by applicable law, the Service is provided on an “as available” basis.
19.2. Dynamic Pixel does not warrant that the Service will be uninterrupted, error-free, completely secure, compatible with every third-party component, or suitable for every particular use.
19.3. Customers are responsible for evaluating whether the selected plan is appropriate for their intended workload, compliance obligations, performance needs, and data-retention requirements.
19.4. Nothing in these Terms excludes a warranty, right, or remedy that cannot lawfully be excluded under applicable law.
20.1. To the maximum extent permitted by applicable law, Dynamic Pixel will not be liable for indirect, incidental, special, exemplary, or consequential losses, or for loss of profits, revenue, business opportunities, anticipated savings, goodwill, or data, arising from use of or inability to use the Service.
20.2. To the maximum extent permitted by applicable law, Dynamic Pixel’s aggregate liability arising out of or in connection with the Service will not exceed the fees actually paid by the Customer to Dynamic Pixel for the affected Service during the twelve months immediately preceding the event giving rise to the claim.
20.3. The limitations in this Clause will not apply to the extent liability cannot legally be limited or excluded, including any liability that applicable law expressly prohibits the parties from limiting.
20.4. The parties should address any additional liability caps, exclusions, indemnities, service credits, or special risk allocations in a separate written agreement where the nature or scale of the engagement warrants it.
21.1. To the extent permitted by applicable law, the Customer will be responsible for claims, losses, damages, and reasonable costs arising from the Customer’s unlawful use of the Service, material breach of these Terms, infringement of third-party rights through Customer-provided content, or violation of applicable law.
21.2. This obligation will not apply to the extent a claim results from Dynamic Pixel’s own breach, negligence, wilful misconduct, or other conduct for which responsibility cannot lawfully be excluded or transferred.
21.3. Any indemnity under a separate written agreement will take precedence to the extent of any inconsistency with this Clause.
22.1. Dynamic Pixel may update these Terms from time to time to reflect changes in the Service, technology, security requirements, business practices, or applicable law.
22.2. The latest version will be published on the relevant website with an updated revision date.
22.3. Where a change materially affects an existing paid subscription, Dynamic Pixel will provide reasonable notice where practicable. If a change requires Customer acceptance under applicable law, the Customer will be given an appropriate opportunity to accept or discontinue the affected Service.
22.4. Continued use after the effective date of a change may constitute acceptance where permitted by applicable law and where appropriate notice has been provided.
23.1. Neither party will be responsible for a delay or failure to perform obligations to the extent caused by circumstances beyond its reasonable control, including natural disasters, war, civil unrest, government action, widespread network or power failures, major cyber incidents, or failures of third-party infrastructure.
23.2. The affected party will use reasonable efforts to reduce the impact and resume performance as soon as reasonably practicable.
23.3. This Clause does not excuse payment obligations for services already provided or liabilities that cannot lawfully be excluded.
24.1. These Terms will be governed by the laws of India.
24.2. The parties will first attempt in good faith to resolve any dispute through written discussions between their authorised representatives.
24.3. If the dispute cannot be resolved through those discussions, either party may pursue remedies available under applicable law before the competent courts in Ghaziabad, Uttar Pradesh, India, subject to applicable jurisdictional requirements.
24.4. Nothing in this Clause limits any mandatory rights or remedies available to a party under applicable law.
25.1. Entire understanding: These Terms, together with the applicable plan description, rate card, quotation, order confirmation, Privacy Policy, and any separately signed agreement, govern the Customer’s use of the Service.
25.2. Order of precedence: If there is a conflict, a separately signed agreement or service-level agreement will prevail for the matters it expressly addresses, followed by the accepted quotation or order confirmation, the applicable plan or rate card, and these Terms.
25.3. Severability: If any provision is held invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
25.4. No waiver: Failure to enforce a provision on one occasion does not waive the right to enforce it later.
25.5. Assignment: The Customer may not transfer its rights or obligations under these Terms without Dynamic Pixel’s prior written consent, except where prohibited by law. Dynamic Pixel may transfer its rights and obligations as part of a business reorganisation or transfer, subject to applicable law.
25.6. Electronic acceptance: Acceptance through a checkbox, electronic confirmation, or another recorded electronic process may constitute acceptance of these Terms to the extent recognised by applicable law.
25.7. Notices: Notices relating to the Service may be sent to the registered email address or another contact channel designated by the parties.
